The role

 

We’re looking for an experienced Company Secretary, Funds (part-time) to join our high performing Governance team within Legal, Risk, Governance and Compliance.

Reporting to the Head of Governance, you will be appointed as statutory Company Secretary for GPT Funds Management Limited (GPTFM) and play a critical role in supporting the GPTFM Board, its Committees and Wholesale Fund Investor Representation Committees.

This role is critical in providing trusted advice on corporate governance, statutory obligations and best practice within a complex funds management environment. You will work closely with the Board, Executive team and internal stakeholders to ensure governance frameworks remain robust, contemporary and aligned to regulatory requirements.

What you will be doing

 

  • Provide company secretarial and governance advice to the GPTFM Board, Board Committees and Investor Representation Committees.
  • Manage end-to-end Board and Committee processes including annual calendars, agendas, papers, minutes and meeting logistics.
  • Ensure compliance with statutory, regulatory and constitutional obligations.
  • Maintain and review governance documentation, including Board and Committee Charters and related policies.
  • Support the preparation and delivery of Wholesale Fund AGMs, including Notices of Meeting, Explanatory Memoranda and Chairman scripts.
  • Advise on related party transactions, conflicts management and broader funds management governance matters.
  • Lead annual Board performance review processes.
  • Partner with Legal, Risk and Compliance teams to ensure alignment across governance and regulatory requirements.
  • Support Non-executive Director recruitment, induction and ongoing governance effectiveness.
  • Drive continuous improvement across governance processes, systems and documentation.
  • Manage investor complaints in collaboration with Fund Operations and Investor Relations.
  • Contribute to strategic projects across the Governance team and broader business.

 

 

 

What makes you stand out

 

  • Proven experience as a Company Secretary or in a senior governance role.
  • Strong understanding of corporate governance frameworks and statutory obligations.
  • Experience supporting Boards and Committees, including high-quality paper and minute drafting.
  • Degree qualified in Law or Business; Governance Institute qualification preferred.
  • Funds management or property sector experience is advantageous but not essential.
  • Excellent judgement and ability to manage competing priorities.
  • Highly organised, detail-oriented and proactive.
  • Confident communicator with the ability to influence senior stakeholders.
  • Collaborative and solutions-focused, with a contemporary approach to governance.
